Welcome to TCOI (The Company of India). These Terms and Conditions govern your engagement with our professional services including digital marketing, AI consultation, UX design, website development, application development, and server management. By accessing our website or contracting our services, you agree to comply with these terms in full.

1. Acceptance of Terms

These terms constitute a legally binding agreement between you (the client) and TCOI. If you are accepting these terms on behalf of a corporate entity, you represent and warrant that you possess full authorization to bind that entity to these conditions.

2. Services Scope & Delivery

All deliverables, resources, milestones, and technical specifications are governed by a mutually executed Statement of Work (SOW). Any additions or structural alterations to the project scope must be formally approved in writing through a change order.

3. Payment & Invoicing

Unless explicitly specified in the SOW, payments are invoiced on a net 30-day schedule. Late payments may incur interest charges at a rate of 1.5% per month. We reserve the right to suspend development cycles, design access, or server infrastructure support if accounts remain overdue.

4. Intellectual Property

Upon receipt of full payment, all custom design tokens, software code, and marketing assets developed specifically for the client are transferred to the client. TCOI retains the intellectual property rights to any pre-existing code repositories, utility frameworks, or proprietary AI structures used during development.

5. Limitation of Liability

TCOI will not be held liable for any indirect, incidental, or consequential damages (including, but not limited to, loss of revenue, database corruption, or system downtime) arising out of the use or inability to use our deliverables. Our total liability is capped at the sum paid by the client for the specific service SOW.

6. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any legal actions or disputes arising out of these terms must be resolved under the jurisdiction of the courts of Mumbai, India.
